1.  Introduction


Ownership and Operator: StampEzee (the “Service”) is a digital loyalty platform owned and operated by NexGen Mobility International. All references to “StampEzee,” “Company,” “we,” “us,” or “our” in these Terms and Conditions refer to NexGen Mobility International, and its Service.

 

Acceptance of Terms: By accessing or using StampEzee’s website, mobile application, and related services, you agree to be bound by these Terms and Conditions (the “Terms” or this “Agreement”). These Terms constitute a legal agreement between you (either an individual end-user or a business entity “Retailer” using the Service) and the Company. If you do not agree with any part of these Terms, you must not use theService.

 

Global Availability: StampEzee is available for use globally, subject to applicable laws. Retailers and end- users from any country may use the Service. Supported Languages and Currencies: Retailers can select from the languages and currencies supported by StampEzee for theirinterface, customer engagement, and billing. (All fees will be processed in the chosen supported currency, and translations of these Terms into languages other than English are for convenience only – the English version will control in case of any conflict.)

 

Modifications: StampEzee reserves the right to modify or discontinue the Service or any features or pricing at any time, with or without notice. We may add, remove, or alter functionalities or impose new conditions on use. We may also update these Terms from time to time. Any such changes are effective immediately upon posting to our website or within the Service. It is your responsibility to review these Terms periodically. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do notagree to a change in pricing, features, or terms, you should stop using the Service and, if applicable, cancel your account.

 

2.  Definitions


For the purposes of this Agreement, the following capitalized terms have the meanings defined below. These definitions are provided for clarity:

 

• “Service” or “Platform” – The StampEzee digital loyalty platform, including the website, mobile applications, dashboards, and allrelated software, tools, and services provided by the Company for managing and participating in loyalty stamp card programs.

• “Company” – NexGen Mobility International., doing business as StampEzee, including its officers, directors, employees, and authorized agents.

• “User” – Any person or entity who uses the Service. This includes Retailers (and their authorized personnel) as well as End Users (customers who participate in a Retailer’s loyalty program).

• “Retailer” – A business, merchant, or individual that registers for a StampEzee account to create and manage a loyalty program for itscustomers. A Retailer is typically a paying subscriber to the Service. In this Agreement, “you” may refer to the Retailer when a Retailer is accessing the Service.

• “End User” – An individual consumer or customer who is not a Retailer, but who uses the Service to participate in a Retailer’s loyaltyprogram (for example, by collecting Stamps and redeeming Rewards via the StampEzee mobile app or other interfaces). In thisAgreement, “you” may refer to an End User when an End User is accessing the Service.

• “Account” – A registered account on the Service associated with a User. A Retailer Account enables access to merchant features (e.g.setting up loyalty programs, viewing customer activity), whereas an End User Account (if applicable) enables a customer to track their Stamps and Rewards.

• “Stamp” – A unit of loyalty credit recorded on the Platform, analogous to a “stamp” on a traditional paper loyalty card. A Stamp is awarded to an End User typically when they make a qualifying purchase or action at a Retailer’s business, according to that Retailer’sloyalty program rules. Stamps have no cash value, are not legal tender, and are non-transferable except within the Service as permitted by the Retailer’s program rules.

• “Stamp Card” – a digital loyalty card within the Service that accumulates Stamps. A Stamp Card usually corresponds to a specificloyalty offer or goal (for example, “Collect 10 stamps to get a free item”). Each Stamp Card has a predefined number of Stamps required to be completed. Usage Policy: Stamp Cards are issued either by the Retailer as part of their loyalty program or by StampEzee in collaboration with Retailers. An End User’s Stamp Card will be credited with Stamps as the user makes qualifying transactions. StampCards are specific to the issuing Retailer or promotion – Stamps on a given Stamp Card can only be earned from and redeemed atthe issuing Retailer (or as explicitly allowed by that Retailer). Stamp Cards may have validity or expiration periods set by the Retailer or by StampEzee’s platform defaults.

• “Reward” – Any benefit, discount, free product/service, or other incentive that is offered to an End User upon completing a Stamp Card or achieving a specified number of Stamps. Rewards are defined by the Retailer’s loyalty program (or by StampEzee if part of a system-wide promotion). Reward Validity: Rewards may be subject to expiration dates or usage windows as determined by the Retailer or StampEzee. A Reward has no cash value and cannot be exchanged for money; it is only the entitlement to the promotional item or benefit described.

• “Loyalty Executive” or “Loyalty Executive Access” – A type of user role granted under a Retailer’s Account. A Loyalty Executiveis an individual authorized by the Retailer to access the StampEzee Service with delegated permissions to help manage that Retailer’s loyalty program. For example, a Loyalty Executive might be a store manager or employee who can enter transaction details, issue Stamps to customers, or redeem Rewards on behalf of the Retailer. Responsibilities: Loyalty Executives aresubject to these Terms and the Retailer is responsible for all actions taken by Loyalty Executives on their account (see Section 3** below).

• “Internal Admin” – A user role used solely by the Company’s internal staff to maintain and administer the Service. Internal Admin accounts are not available to Retailers or End Users. This term appears in these Terms only for clarification; Retailers and End Users willnot interact with Internal Admin users, but acknowledge that the Company’s Internal Admins have broad authority to access and manage all aspects of the Platform for maintenance, support, and enforcement of these Terms.


• “Subscription Plan” – The specific plan or agreement under which a Retailer subscribes to use the Service, which may detail featuresavailable (number of Stamp Cards, users, etc.), subscription term, and fees. Different Subscription Plans may be offered (e.g. monthly orannual plans, tiers of service).

• “Fee(s)” – Any charges or costs payable by a Retailer for access to the Service or additional features. This may include subscription fees and other charges as applicable (excluding any discontinued concepts, which are no longer separately charged).



Any other capitalized terms used within these Terms may be defined in context. Headings are for reference only and do not affect interpretation of the clauses.

 

3.  User Accounts and Access Roles


Account Registration (Retailers): To use StampEzee as a Retailer, you must create an Account by providing truthful, up-to-date informationincluding your legal business name (or personal name for sole proprietors), contact information, and payment details for subscription billing. You agree to keep your Account information accurate and updated. Upon registration, you will have administrative access to a Retailer dashboard where you can configure your loyalty program (e.g. define Stamp and Reward rules). The individual who creates the Account or is designated as the owner/admin of the Retailer account will be considered the primary account holder with full administrative privileges.

 

Account Registration (End Users): End Users may use the Service (e.g. via the StampEzee mobile app or by providing a phone number/email at a participating Retailer) to collect stamps and redeem rewards. End Users might create an Account or user profile to track their Stamps and Rewards across different Retailers. End Users must provide any required information truthfully (for example, a valid mobile number or email if needed to identify their account). End Users are responsible for maintaining the security of their StampEzee app login or any verification codes.

 

Account Security: You are responsible for maintaining the confidentiality of your login credentials (username, passwords, or any keys) for the Service. You must not share your login information with unauthorized persons. If you are a Retailer, you may grant access to your Account to authorized personnel (such as Loyalty Executives) by creating sub-accounts or using features that allow team access, if your Subscription Plan permits it. Any activity that occurs under your Account will be deemed authorized by you. It is your responsibility to ensure that all users under your Account (including employees, Loyalty Executives, etc.) comply with these Terms. Notify us immediately at once if you suspect any unauthorized access or breach of your Account’s security. We are not liable for any loss or damage arising from your failure to safeguard your credentials or from unauthorized access, unless such access was due to our own security failure.

 

Loyalty Executive Access: If you are a Retailer, you may designate one or more users with Loyalty Executive Access. Loyalty Executives canperform certain actions on your behalf, such as recording sales transactions, issuing Stamps to End Users, and redeeming Rewards. The Retailer is solely responsible and liable for all actions or omissions of its Loyalty Executives. This means:

 

• You must ensure that your Loyalty Executives are persons you trust and who are properly trained to use the Service.

• Data Entry Accuracy: Loyalty Executives (and any Retailer staff using the Service) are responsible for entering correct information, including but not limited to invoice amounts, transaction details, and customer identifiers when awarding Stamps or processing Reward redemptions. StampEzee simply processes the data input by your team; the Company is not accountable for any errors, discrepancies, financial losses or customer disputes arising from incorrect information entered by a Loyalty Executive or other Retailer user. For example, if a Loyalty Executive enters the wrong purchase amount or number of stamps, any resulting shortfall or over-award of loyalty credit is the Retailer’s responsibility to rectify.

• The Retailer must monitor and is responsible for all activity by its Loyalty Executives. If a Loyalty Executive misuses the system orviolates these Terms, it may result in suspension of the Retailer’s Account (see Section 9: Termination).


Authorized Use Only: You agree to use your Account (whether as a Retailer or End User) only for legitimate purposes in line with the intended use of the Service. Retailers shall use their Accounts only for running bona fide loyalty programs for their own business and customers. End Users shall use their Accounts only for personal, non-commercial participation in those loyalty programs. You shall not sell, lease, license, or transfer your Account or access credentials to any other party except as expressly permitted (for example, a Retailer’s authorized employees can use the Retailer’s account access as described above).

 

4.  Permitted Use and Prohibited Activities


License to Use: Subject to your compliance with these Terms and payment of all applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the StampEzee Service for its intended purposes. Retailers may use the Service to create and manage loyalty programs for their business, and End Users may use it to participate in those programs. You acknowledge that all rights, title, and interest in the Service (including all software, code, and content) remain with the Company and its licensors – you receive no ownership of any aspect of the Service, only the right to use it per these Terms.

 

Prohibited Uses: You agree not to misuse the Service. The following non-exhaustive list outlines some

prohibited activities – you shall not:

 

• Illegal or Unethical Activity: Use the Service for any purpose that is illegal, unlawful, fraudulent, or unethical. This includes using StampEzee in connection with any business or activity that is illegal, involves illegal drugs or controlled substances, or is otherwise unethicalor prohibited by law. If you are a Retailer, you must not offer loyalty programs for products or services whose sale or distribution is unlawful in any applicable jurisdiction.

• Violation of Rights: Upload, post, or transmit any content via the Service that infringes or violates the rights of any party, including intellectual property rights, privacy rights, or publicity rights.

• Abusive or Harmful Behavior: Use the Service to harass, defame, or harm any person or entity, or to distribute any harmful, offensive,obscene, or otherwise objectionable content. You shall not use StampEzee to send spam, unsolicited messages, or excessivecommunications to End Users outside the intended loyalty notifications (e.g. sending marketing SMS/emails through StampEzee without proper consent is not allowed).

• Security Violations: Attempt to interfere with or disrupt the integrity or proper functioning of the Service. This includes not introducingviruses, malware, or any other harmful code, not attempting to hack or gain unauthorized access to the Service or other users’ accounts or data, and not circumventing any security or authentication measures.

• Reverse Engineering and Abuse: You must not reverse engineer, decompile, or otherwise attempt to extract the source code or underlying ideas or algorithms of the Service, except as permitted by law. Also, you may not use any automated means (e.g. bots,scraping tools) to extract data from the Service or to mass-create accounts or otherwise abuse the system.

• Resale or Unapproved Commercial Use: You may not resell, rent, lease, or provide access to the Service to any third party (except as part of your own Retailer loyalty program to End Users) without our written permission. You may not white-label, rebrand, or frame theService as if it were your own product – StampEzee must be presented as the platform powering the loyalty program (the previous option for white-labeling is discontinued as noted).


Consequences of Prohibited Use: StampEzee reserves the right to suspend or terminate your account (Retailer or End User) and/or refuse any current or future use of the Service, at our sole discretion, if we determine (or reasonably suspect) that you have engaged in any of the prohibited activities or violated any part of these Terms. In particular, we may remove or ban any Retailer or business from the platform, without liability, if we find that the business is involved in illegal, drug-related, or unethical operations or activities contrary to the principles of these Terms or the law. We may also cooperate with law enforcement and report unlawful conduct. (See Section 9: Termination for more details on account termination).

 

5.  Loyalty Program Terms (Stamps, Stamp Cards, and Rewards)


This section governs how the loyalty system functions within StampEzee and the responsibilities of Retailers and End Users in that context.

 

Setting Up a Loyalty Program (Retailers): As a Retailer, you are able to configure your loyalty program through the Service. This includes defining how End Users earn Stamps (for example, one Stamp per purchase above a certain amount, or one Stamp per visit), setting up Stamp Cards (e.g. “Buy 5, get 1 free” structures), and specifying Rewards that customers obtain upon completing a Stamp Card or reaching a stampthreshold. You must ensure that your loyalty program terms (e.g. how many Stamps are needed for a Reward, what the Reward is, and any conditions or expiration) are clearly communicated to your customers (End Users). StampEzee may provide you tools to display these terms in the mobile app or receipts, but the primary responsibility to inform End Users of the program rules lies with you as the Retailer.

 

Issuing of Stamps: Stamps are issued to End Users by the Retailer when qualifying actions are taken by the End User. For example, when an End User makes a purchase, the Retailer (or its Loyalty Executive or cashier) will record the transaction in StampEzee, thereby crediting the appropriate number of Stamps to the End User’s Stamp Card. Accuracy and honesty are essential: Retailers must award Stamps only for genuine transactions or criteria met, and End Users must not fraudulently attempt to obtain Stamps (such as by falsifying purchase data or using multiple accounts illegitimately). StampEzee is not responsible for verifying the legitimacy of any transaction; all Stamps issuance is at the Retailer’sdiscretion and risk.


Stamp Cards Usage Policy: Each Stamp Card corresponds to a specific reward offer or loyalty goal set by the Retailer. An End User may have multiple Stamp Cards (particularly if they engage with multiple businesses on StampEzee), but each Stamp Card is tied to the Retailer that issued it and cannot be combined or transferred between different Retailers. Stamps earned at one Retailer cannot be used to fill a Stamp Card of another Retailer. Stamp Cards may also be limited to one per End User per Retailer (unless the Retailer explicitly allows multiple concurrent cards). Retailers can configure whether a Stamp Card can be reused (e.g. resets after redeeming the Reward, to start collecting again) or if it’s a one-time promotion.

 

• No Cash Value & Non-transferability: Stamps and Stamp Cards are promotional in nature and have no cash or monetary value. They are not property of the End User but rather a conditional right to a Reward under the Retailer’s program. Stamps and Stamp Cardscannot be sold, exchanged for cash, or transferred to other persons, except as explicitly allowed via Service features (for instance, if StampEzee enables gifting a reward, which would be clearly delineated). Any attempt to sell or trade Stamps or Stamp Cards outside the Service is strictly prohibited and may result in account termination.

• Lost or Inactive Cards: If an End User’s account is deleted or the End User ceases to engage with a particular Retailer for a long period, the Retailer may choose to invalidate or clear the accumulated Stamps on that Retailer’s Stamp Card (subject to applicable laws). StampEzee may also purge inactive End User data after a period of time per our Privacy Policy, which may include erasing unused Stamps – we will comply with legal requirements regarding notification if any apply, but otherwise this is part of normal operation.


Rewards Redemption: When an End User has accumulated the required number of Stamps on a Stamp Card, they become eligible to redeem the designated Reward. The process typically involves the End User informing the Retailer (e.g. at checkout) that they have a reward ready, or using the StampEzee app to redeem a reward coupon or code which the Retailer then honors. Retailer’s Responsibility for Rewards: TheRetailer is solely responsible for providing the promised Reward to the End User upon valid redemption. StampEzee’s role is only to track the Stamps and indicate when a Reward is available; StampEzee does not itself fulfill or deliver the Reward (for example, if the Reward is a free coffee, it is the Retailer’s duty to provide the coffee; StampEzee is not liable if the Retailer fails to do so).

 

Reward Validity and Expiration: Any Reward may carry an expiration date or validity period, which can be set by the Retailer within the Service or by StampEzee’s program defaults. For instance, a Retailer might specify that a Reward must be used within 30 days of being earned, or StampEzee might enforce a general rule that Rewards expire if not used within one year. These validity terms should be communicated to End Users (StampEzee will assist by displaying expiration dates in the app where possible). End Users acknowledge and agree that they must use each Reward before its expiration date. End Users have no right to dispute or demand extension of a Reward after it has expired. Once a Reward’s validity period lapses, the Reward is void and will not be honored. Neither the Retailer nor StampEzee is obligated to reinstate expired Rewards or compensate the End User in lieu of an expired Reward.

 

Disputes Between Retailer and Customer: StampEzee is a platform provider and is not a party to the loyalty agreement between a Retailer and its customer (End User). While we provide the infrastructure, each Reward offer is made by the Retailer to the End User. Any disputes or issues regarding the earning of Stamps or the fulfillment of Rewards (e.g., a customer believes they earned a Stamp that wasn’t credited, or a Retailer refuses to honor a Reward) are between the End User and the Retailer. However, StampEzee support may, at our discretion, assist in facilitating communication or investigating technical issues (for example, if Stamps didn’t record due to a software bug, wemay help resolve that). Ultimately, Retailers are responsible for the quality and terms of their loyalty offers, and End Users must address any dissatisfaction with the Retailer. StampEzee bears no liability for a Retailer’s failure to award a Stamp or provide a Reward.

 

Fraud and Abuse: StampEzee and Retailers each reserve the right to prevent or reverse any Stamps or Rewards in cases of suspected fraud or abuse. If we suspect that an End User has created fake transactions, used multiple accounts illegitimately, or otherwise tried to game the loyalty system, we (and/ or the Retailer) may cancel the affected Stamps or Rewards and take appropriate actions (which may include terminating accounts – see Section 9). Similarly, if a Retailer is found to be fraudulently issuing Stamps or Rewards (for instance, to inflate usage numbers or for any improper purpose), the Company can intervene, and this may be grounds for termination of the Retailer’s account.

 

6.  Fees and Payments


(The following section applies primarily to Retailers, as End Users are typically not charged by StampEzee for participating in loyalty programs.)

 

Subscription Fees: Use of the StampEzee Service by Retailers is generally subject to subscription fees as per the Subscription Plan you select. When you register as a Retailer, you agree to pay all applicable fees associated with the plan or services you choose. Fees, pricing tiers, and billing cycles (monthly, annual, etc.) are described on our website or in a separate order form or agreement. By submitting your payment information, you authorize StampEzee (or our designated payment processor) to charge the stated subscription fee in advance and on a recurring basis (unless your plan is a one-time fee or pay-as-you-go structure) to your provided payment method.

 

Taxes: All fees are stated and charged in the currency you select from the supported options, and exclusive of any taxes (unless otherwise indicated). You are responsible for any sales, value-added, goods and services, withholding, or similar taxes or duties applicable to your subscription or use of the Service, other than taxes on our income. We may charge tax where required by law, in which case it will be added to your billing amount unless you provide proof of tax-exempt status.

 

Changes to Fees and Features: StampEzee reserves the right to change its pricing, introduce new charges, or change the features ofany Subscription Plan at any time, at its sole discretion. This means that monthly or annual subscription rates may be increased, new fees for certain functionalities may be instituted, or certain features may be moved between plans or modified. Such changes can be effective immediately upon our posting of the revised prices or features on the website or notifying you via email or within the Service. While we may (but are not obligated to) provide advance notice of significant pricing changes, there may be cases where changes are made with little or no notice. If you do not agree to a pricing or feature change, your remedy is to cancel your subscription before the next billing date (see Section 7: Refund Policy and Cancellation). Your continued use of the Service after a pricing/feature change constitutes your agreement to the new terms.

 

Billing and Payment Terms: You must provide valid payment information (such as a credit card or other accepted payment method) andpromptly update it if it changes. If we cannot charge your payment method for any reason (e.g., card expiration or insufficient funds), we willattempt to notify you and may temporarily suspend your Account until payment is received. Late Payments: Any overdue amounts may incur interest at the rate of 1.5% per month (or the highest rate permitted by law, if lower), from the due date until paid.


You will be responsible for all reasonable costs we incur in collection of late payments, including attorneys’ fees.

 

Promotions and Trials: StampEzee may offer free trials or promotional discounts for Retailer subscriptions. Such offers are subject to these Terms as well. We reserve the right to modify or revoke promotional offers at any time. If you are on a free trial, you must cancel before the trial ends to avoid being charged, otherwise we will charge your provided payment method at the normal rate once the trial period lapses.

 

7.  Cancellation and Refund Policy


Cancellation by Retailer: You may cancel your StampEzee subscription at any time through your Account settings or by contacting us in writing. If you cancel, you will continue to have access to the Service until the end of your current paid subscription period (unless we decide to terminate your access sooner due to breach of terms). After that period, your Retailer account will be deactivated or downgraded to a freelimited tier (if available). We recommend exporting any data you need prior to cancellation, as we may delete data after account deactivation (per our data retention policies).

 

Refunds for Retailers: All refunds are provided on a pro-rata basis only. This means that if you are entitled to or we agree to issue a refund, we will calculate the refund amount proportional to the unused portion of your subscription term. For example, if you paid annually and cancel with 3 months remaining in the period and if a refund is granted, you may receive a refund equivalent to 3/12 (three-twelfths) of your annual fee(minus any applicable discounts or adjustments). No full refunds will be given for partial use – any use of the Service for a period will be charged for that period, and only the unused remainder is considered for refund.

 

In general, fees are non-refundable except in the following situations: - If you cancel a prepaid subscription (e.g., annual plan) and have fully paid in advance, we may refund the unused portion on a pro- rata basis as described above, provided that you are in good standing and not in violation of these Terms. - If we materially breach these Terms and you terminate the agreement as a result, or if we terminate the Service entirely (shutting down the platform) and you have time left on your subscription, we may refund the unused portion of your prepaid fees. - If required by law to issue a refund in certain circumstances, we will comply with such laws (for instance, some jurisdictions have mandatory refund rules for consumers – those would typically apply to End Users, though End Users generally do not pay to use StampEzee). - Any other refund scenario will be at StampEzee’s sole discretion. (For example, we might choose to issue a pro- rata refund as a courtesy in some cases, but this is not an obligation.)

 

No Refunds for Misuse or Breach: If your account is suspended or terminated by us due to your violation of these Terms or unlawful conduct, you will not be entitled to any refund for fees already paid. Additionally, if you (or your End Users) did not utilize the Service or failed to engagecustomers as expected, that does not entitle you to a refund — the fees cover availability of the Service, regardless of usage level, unless otherwise stated in your Subscription Plan.

 

Refund Process: To request a refund (when you believe you are entitled to one), you must contact StampEzee support and provide the details of your account and reason for cancellation/refund. If approved, refunds will be issued to the original payment method on file (or via an alternative method if the original is not available) and may take a certain number of business days to process, depending on banking channels.

 

End User Purchases: StampEzee generally does not charge End Users; however, if in the future End Users pay any fees (for example, topurchase additional perks in the app), separate refund terms for those specific features will be provided. In absence of separate terms, such End User payments would also only be refundable on a pro-rata or unused basis, if at all, following similar principles as above.

 

8.  Modification of Service


(Note: Some modification rights are also described in Section 6 regarding pricing and features. This section covers broader modifications.)

 

Service Changes: StampEzee is an evolving service. You acknowledge and agree that the Service may change over time. We may deploy updates, bug fixes, and patches, which might change the interface or functionality. We may add new features or remove features that are obsolete or underutilized. We may also permanently or temporarily discontinue any aspect of the Service. These changes may be made with or without prior notice to you. While we strive to improve the platform, any change could potentially impact how you use the Service (for example, if we remove a feature you rely on).

 

Notice of Changes: Material changes that significantly affect the use of the Service may be announced via email, in-app notification, or on our website. However, StampEzee is under no obligation to maintain any particular feature or support any particular integration for a specific duration, unless separately agreed with you in a written Service Level Agreement or contract.

 

New Features: If StampEzee introduces new tools, options, or features, they may be free, included in your existing plan, or require an upgrade or additional fee. The use of any new feature will be governed by these Terms (as updated) or additional terms if specified for that feature.

 

Your Data and Configuration: We will endeavor to preserve your data and settings through updates and changes, but we cannot guarantee that certain changes won’t require modifications on your part. For instance, if we change how Stamp Cards are configured, you might need to adjust your loyalty program settings. We are not liable for any costs you incur adapting to Service changes, as long as such changes are broadly applied and not targeted specifically at you.

 

Right to Modify Terms: Along with modifying the Service, we may also modify these Terms as mentioned in Section 1. We will indicate at the top of this document the "Last Updated" date. It is your responsibility to review changes. If you continue to use the Service after an update to Terms, you are accepting the new Terms.


9.  Termination and Suspension

By the Company (StampEzee): We may, at our sole discretion, suspend or terminate your access to the Service or terminate this Agreement at any time, for any reason or no reason, with or without notice. Without limiting the foregoing, we specifically reserve the right to immediatelysuspend or terminate (a) any Retailer’s account if we observe or suspect that the Retailer’s business or loyalty program is involved in illegal activities, the sale of illegal drugs or controlled substances, fraudulent schemes, or other unethical conduct, or (b) any User’s account (Retailer or End User) that is in breach of these Terms or engaged in actions that, in our judgment, could harm the Company, the Service, or other users. StampEzee has the sole discretion to remove any business or retailer from the platform. If we do so for cause (e.g. violation of Terms or law), we are not obligated to refund any fees (see Section 7). If we terminate without cause (for example, deciding to discontinue the Service or your particular account for business reasons unrelated to misconduct), we may provide a pro-rata refund of any prepaid fees as described in the Refund Policy.

 

We may also choose to suspend your account access (rather than fully terminate) in order to investigate suspected violations, or if required by law enforcement or court order, or if you fail to pay fees when due. During suspension, you will not be able to use the Service (or certain functionalities), but your data may be retained. We will endeavor to inform you of any suspension and what steps need to be taken (if any) to be reinstated, unless legally prohibited.

 

By the User (You): If you are a Retailer, you may terminate this Agreement by canceling your account or subscription (see Section 7 on cancellation). If you are an End User, you may simply stop using the Service and/or uninstall the app; you may also request deletion of your End User account where applicable. Termination by you does not absolve you of responsibility for any accrued fees or charges (Retailers remain responsible for paying any outstanding amounts).

 

Effect of Termination: Upon termination of a Retailer’s account, the Retailer will lose access to the StampEzee dashboard and all data associated with the account may be permanently deleted or made inaccessible by the Company (after any retention period required or allowed by law). End Users who have collected Stamps with that Retailer will no longer be able to earn new Stamps or redeem Rewards from that Retailer through the Service. We have no obligation to forward any notices to End Users of a Retailer’s termination, but the Retailer may choose to communicate with its customers separately.

 

If an End User’s account is terminated (by the End User or by us for misconduct), the End User will lose access to their StampEzee profile and forfeit any unredeemed Stamps or Rewards associated with that profile. End Users should redeem available Rewards prior to closing their account.

 

Survival: Any provisions of this Agreement that by their nature should survive termination (such as limitations of liability, indemnities, governing law, and any accrued rights to payment) shall survive the expiration or termination of this Agreement.

 

Data Portability: For Retailers, if legally required, StampEzee can provide an export of your basic loyalty program data (such as lists of End Users and their stamp counts) upon termination, provided your account is in good standing and you request it within a reasonable time of termination. We may charge a fee for extensive data export or assistance beyond standard formats.


10.  Intellectual Property Rights

StampEzee IP: All content, software, technology, and materials used in or provided by the Service, including but not limited to the StampEzee name, logos, and all related product and service names, designs, and slogans, and all underlying code, databases, and business processes (collectively, “Intellectual Property”) are the property of the Company or its licensors. They are protected by copyright, trademark, trade secret, and other intellectual property laws. You are granted no ownership or exclusive rights in any of the Company’s Intellectual Property. StampEzee and NexGen Mobility International. retain all rights not expressly granted in this Agreement.

 

License to Users: During the term of this Agreement and subject to your compliance with it, StampEzee grants you a limited license to access and use the Service and any materials provided (such as user guides, APIs, or sample marketing content) solely for purposes of using the Service as allowed. Retailers may use the StampEzee name and branding only to the extent necessary to inform customers that the loyalty program is powered by StampEzee (for example, you may include the StampEzee logo on marketing materials if we have provided assets for that purpose, and in accordance with any trademark usage guidelines we supply). Any goodwill associated with the StampEzee marks inures to the benefit of the Company. You shall not obscure, remove, or alter any trademarks, logos, or legal notices displayed in the Service or on materials we provide.

 

Feedback: We welcome feedback, suggestions, or ideas from users about improving StampEzee (“Feedback”). If you choose to provide Feedback, you agree that StampEzee (and its parent company) is free to use such Feedback in any way, at its sole discretion, without any obligation to you. You hereby grant the Company a perpetual, irrevocable, sublicensable, royalty-free, worldwide license to use, modify, and incorporate any Feedback you provide into the Service or our business products. You agree that you will not seek to claim any rights in or to the enhancements or modifications made based on your Feedback.

 

Your Content and Data: (Note: See also our Privacy Policy for how we handle personal data.) In using the Service, Retailers may input business information, product names, logos, and other content (“Retailer Content”), and End Users or Retailers may input personal data (such as names, contact info) or transaction details (“User Data”). You retain ownership of your own content and data. By using the Service, you grant StampEzee a license to use, store, reproduce, and process your content and data as needed to provide the Service. For example, we maydisplay your business name and logo to your customers within the app, or we will process transaction data to update stamp counts. We will handle personal data in accordance with applicable privacy laws and our Privacy Policy. You represent that you have all necessary rights andconsents to upload or share any content or data you provide to the Service (for instance, Retailers must ensure they have the right to use customers’ phone numbers to register them in the loyalty program). StampEzee is not liable for any content provided by users on the platform and may remove or delete user- provided content that violates these Terms or law, at our discretion.

 

11.  Disclaimer of Warranties


Service Provided “As Is”: StampEzee is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, the Company disclaims all warranties of any kind, whether express, implied, or statutory, regarding the Service. This includes, but is notlimited to, any implied warranties of


merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

 

No Guarantee of Results or Error-Free Operation: The Company does not warrant that the Service will meet your requirements or expectations, or that the operation of the Service will be uninterrupted or error- free. We do not guarantee that loyalty programs run through StampEzee will achieve any particular business results or customer retention outcomes for Retailers. Downtime and Data: We do not warrant that any data (including loyalty transaction records or stamp totals) will be 100% secure or not subject to loss (though we do take precautions—see our Privacy Policy and security statements). You assume all risk for any loss of data or rewards due to technical issues, except to the extent that such issue was caused by our gross negligence or willful misconduct (even then, any remedy would be limited as per Section 12: Limitation of Liability).

 

No Warranty on Third-Party Integrations: StampEzee may integrate or interoperate with third-party devices, applications, or services (for example, a point-of-sale system or an SMS gateway). We make no warranty and assume no responsibility for any third-party services. If any third-party integration fails or behaves unexpectedly, that is outside our control, and we provide no guarantee of its continued compatibility.

 

End User Acknowledgment: End Users understand that any transactions or rewards are subject to the Retailer’s fulfillment. The Service simply facilitates the tracking of loyalty points. StampEzee makes no promises or warranties to End Users that any particular Retailer will continue to honor any Stamp or Reward, or continue its business operations. Participation in a loyalty program via StampEzee is at the user’s own risk, and any Reward offered is the sole responsibility of the offering Retailer.

 

No Other Warranties: No advice or information (oral or written) obtained from StampEzee or through the Service shall create any warranty not expressly stated in these Terms. You understand that digital services can be subject to technical glitches, cyber-attacks, or other issues, and you use the StampEzee Service with awareness of these risks. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you – in such case, any implied warranties are limited to the minimum duration allowed by applicable law.

 

12.  Limitation of Liability


Limited Types of Damages Recoverable: To the maximum extent permitted by applicable law, in no event shall StampEzee or company, nor its directors, officers, employees, affiliates, agents, contractors, or licensors, be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages whatsoever arising out of or in connection with your use of or inability to use the Service, whether or not the Company has been advised of the possibility of such damages. This exclusion includes, without limitation, damages for lost profits or revenues, loss of data, goodwill, use, or other intangible losses, cost of procuring substitute services, or for any claim by any third party (such as customers of a Retailer) against you.

 

Liability Cap: StampEzee’s total cumulative liability to any Retailer, End User, or other user for any and all claims relating to the use of the Service or these Terms shall not exceed the amount actually paid by you to StampEzee in subscription fees in the twelve (12) months immediately preceding the event giving rise to liability (or, if you are an End User or other user who has not paid StampEzee any fees,


the sum of $100 USD as an upper limit). If the foregoing disclaimer or limitation of liability is prohibited by law, StampEzee’s liability shall be limited to the smallest amount permitted by law.

 

Release of Liability: StampEzee shall not be liable for any claims, demands, or damages arising out of or in any way connected withdisputes between a Retailer and an End User, or between users and any third-party, in relation to the loyalty program or any transaction. By using the Service, you release StampEzee and the company. from all liability arising from such interactions or from the conductof any Retailer or End User. For example, if an End User suffers a loss because a Retailer did not honor a Reward, that is a matter between the End User and the Retailer; StampEzee is not responsible.

 

Acknowledgment: You acknowledge that the fees charged (if any) by StampEzee reflect the allocation of risk set forth in this Agreement and that StampEzee would not offer the Service or such fees without these limitations of liability.

 

Applicability: The limitations set forth in this section will apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence), strict liability or otherwise, and even if an exclusive remedy stated in these Terms is found to have failed its essentialpurpose. Certain jurisdictions do not allow some types of limitations, so the above may not fully apply to you – in such cases, our liability is limited to the greatest extent permitted by law.

 

13.  Indemnification


Your Agreement to Indemnify: You (the User, whether a Retailer or End User) agree to indemnify, defend, and hold harmless StampEzee, NexGen Mobility International., and their respective directors, officers, employees, affiliates, agents, and partners (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, judgments, awards, costs or expenses (including reasonable attorneys’ fees) that arise out of or relate to (a) your use or misuse of the Service, (b) your breach of any provision of these Terms, (c) your violation of any law or regulation or of any rights of a third party (for example, infringement of intellectual property or privacy rights), or (d) if you are a Retailer, any claim by an End User or other third party arising from your loyalty program, your products/services, or your failure to fulfill a Reward or promise (except to the extent such claim is caused solely by StampEzee’s breach of these Terms).

 

Defense and Control: StampEzee reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter). In such case, you agree to cooperate with our defense of that claim and you shall not settle any such claim without our prior written consent (which will not be unreasonably withheld). We will use reasonable efforts to notify you of any claim or action that is subject to the above indemnification upon becoming aware of it.

 

Continued Obligations: Your indemnification obligations will survive any termination of your account or the Service or these Terms.

 

14.  Governing Law and Jurisdiction


Governing Law: This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection withthe Service or these Terms shall be governed by and construed in


accordance with the laws of the UAE applicable therein, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

 

Jurisdiction and Venue: You agree that any dispute arising out of or relating to these Terms or the Service that is not subject to informal resolution or arbitration (if applicable) shall be resolved exclusively in the provincial or federal courts located in the UAE. You and StampEzee consent to the personal jurisdiction of such courts and waive any objections on the grounds of inconvenient forum or otherwise (subject to any rights you may have as a consumer to select or require a different jurisdiction under applicable law).

 

If you use the Service from outside UAE, you do so on your own initiative and are responsible for compliance with local laws if and to the extent they apply. Regardless of your location, you agree that any disputes will be adjudicated in the UAE as provided in this section.

 

Injunctive Relief: Notwithstanding the above, you agree that StampEzee may seek injunctive or other equitable relief in any jurisdiction in order to protect its intellectual property or confidential information, if necessary.

 

15.  Miscellaneous Provisions


Entire Agreement: These Terms (along with any additional rules, guidelines, or agreements expressly incorporated by reference, such as a Privacy Policy or an order form for a Subscription Plan) constitute the entire agreement between you and the Company regarding the use of the StampEzee Service. They supersede all prior or contemporaneous understandings and agreements, whether written or oral, relating to the subject matter. Any additional or different terms proposed by you (for example, in a purchase order) are hereby rejected and will not apply unless expressly agreed in writing by an authorized representative of StampEzee.

 

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The invalidprovision will be deemed modified so as to be enforceable to the maximum extent permitted, reflecting the intent of the original provision as closely as possible.

 

No Waiver: The failure of StampEzee to exercise or enforce any right or provision of these Terms shall not operate as a waiver of that right orprovision. Any waiver of any provision of this Agreement will be effective only if in writing and signed by an authorized representative of the Company. Our rights and remedies under these Terms are cumulative and do not exclude any other right or remedy provided by law or otherwise.

 

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of StampEzee. We may assign or transfer our rights and obligations under this Agreement to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law, or otherwise at our discretion. These Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.


Relationship of Parties: Nothing in this Agreement shall be construed to create a partnership, joint venture, franchise, or agency relationship between you and StampEzee. Neither party has the authority to bind the other or incur obligations on the other’s behalf without prior written consent, except as expressly provided by these Terms.

 

Force Majeure: StampEzee shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, strikes or labor disputes, internet or utility outages, pandemics, government actions, or other events of force majeure. In such event, we will use reasonable efforts to resume service as soon as practicable.

 

Headings and Interpretation: Section headings in these Terms are for convenience only and have no legal or contractual effect. Words in the singular include the plural and vice versa. The words “including” and similar terms are to be construed without limitation.

 

Language: These Terms are drafted in the English language. If these Terms are translated into another language, the English version will prevail to the extent of any conflict or ambiguity in interpretation.
