These Terms and Conditions govern access to and use of StampEzee by retailers, their personnel, customers, and visitors. They explain the roles of StampEzee and participating retailers, the rules that apply to loyalty programs, accounts, communications, subscriptions, integrations, and rewards, and the limits of responsibility between the parties.
By creating an account, clicking to accept, subscribing, accessing, or using the Service, you agree to these Terms. If you use the Service for a business, you confirm that you have authority to bind that business. If you do not agree, do not use the Service.
StampEzee is owned and operated by Elyon Techno Labs Inc. In these Terms, “StampEzee,” “we,” “us,” and “our” mean Elyon Techno Labs Inc.

You must be at least 13 years old to create or use a Customer Account. If you are under the age of majority where you live, you may use the Service only with the permission and supervision of a parent or legal guardian. A parent or guardian who permits a minor to use the Service is responsible for the minor’s use and compliance with these Terms. StampEzee may impose a higher minimum age or additional consent requirements where required by law or for specific features.
A Retailer Account may be opened and used only by a person legally capable of binding the Retailer. Retailers are responsible for designating authorized personnel, assigning appropriate permissions, promptly removing access when a person’s role changes, and all activity conducted through their accounts.
You agree that electronic acceptance, records, notices, and transactions may be used in connection with the Service. You may retain a copy of these Terms for your records.
You must provide accurate, current, and complete information and promptly update it. You may not impersonate another person or business, create accounts through deceptive means, or use contact information you do not control or have authority to use.
You are responsible for protecting your devices, credentials, one-time passcodes, QR codes, Wallet passes, and account access. You must promptly notify hello@stampezee.com of suspected unauthorized access, fraud, or security incidents. StampEzee may require identity or authority verification, reset credentials, restrict access, or take other reasonable protective measures.
Phone numbers may be used as a primary account identifier. A change, reassignment, loss, or disconnection of a phone number may affect account access. You must keep your number current and complete any required verification before a number is changed.
StampEzee provides technology that enables Retailers to operate loyalty programs and Customers to participate. Except where StampEzee expressly states otherwise, StampEzee is not the seller, supplier, merchant of record, agent, broker, franchisee, or representative of a Retailer. StampEzee does not control a Retailer’s inventory, prices, store operations, employees, product quality, program design, or customer service.
Each Retailer is solely responsible for its Retailer Program, including its rules, eligibility conditions, qualifying transactions, EzeePoints or Stamp calculations, Reward availability, taxes, restrictions, fulfilment, customer disclosures, complaints, refunds relating to Retailer purchases, and compliance with applicable law. Retailers must ensure that program descriptions and communications are clear, accurate, and not misleading.
Questions or disputes about a Retailer purchase, the award or removal of Stamps or EzeePoints, Reward quality or availability, redemption decisions, or Retailer conduct must first be raised with the relevant Retailer. StampEzee may provide technical records or assistance but is not required to provide, replace, or fund a Retailer Reward.
Before publishing a Retailer Program, the Retailer must clearly disclose the material rules that apply, including how Customers earn progress, any purchase or product requirements, available Rewards, redemption conditions, exclusions, participating locations, validity periods permitted by law, and how program changes or termination will be handled.
Stamps and EzeePoints are promotional loyalty units. Unless applicable law or the Retailer’s published rules expressly require otherwise, they have no cash value, are not transferable, cannot be sold, and cannot be combined across Retailers. A Reward is supplied by the Retailer named in the Retailer Program, not by StampEzee.
Retailers must comply with laws governing reward points, gift cards, vouchers, promotions, and consumer agreements. In Ontario, points must not expire solely because time has passed except where an applicable legal exception permits expiry. Nothing in these Terms authorizes a Retailer to impose an unlawful expiry, forfeiture, or restriction.
A Retailer may correct, reverse, or withhold Stamps, EzeePoints, progress, badges, levels, or Rewards where a purchase is refunded or reversed, an entry was made in error, eligibility conditions were not met, or there is reasonable evidence of fraud, duplication, abuse, or system error. Adjustments must be made honestly, consistently, and in accordance with the Retailer’s published rules and applicable law. StampEzee may make technical corrections necessary to restore data integrity.
A Retailer may change or end a Retailer Program only as permitted by law and its published rules. The Retailer is responsible for any notice, transition period, redemption opportunity, or other remedy required by law. If a Retailer closes, becomes insolvent, deactivates its account, or fails to honour a Reward, StampEzee is not required to fund or substitute the Reward, but this does not limit any rights a Customer may have against the Retailer.
Badges, levels, milestones, progress displays, scratch-card results, rankings, and leaderboards are promotional features. They do not establish a monetary balance, ownership interest, guaranteed status, or entitlement beyond the applicable Retailer Program rules. Retailers must not use these features in a way that is misleading, discriminatory, unlawful, or directed at minors inappropriately. StampEzee may correct or reset gamification data affected by fraud, error, account changes, or program changes.
Customers may be able to join or use a Retailer Program without downloading the StampEzee app, including through EzeeUser, a web link, a phone-number-based flow, Apple Wallet, Google Wallet, or a POS-assisted process. The available functions and information may differ from the app experience. A Customer may need to verify a phone number, create or link an Account, or use the app to access certain features.
Wallet passes are loyalty records, not payment cards or identity documents. Apple and Google do not sponsor Retailer Programs and are not responsible for Stamps, EzeePoints, Rewards, or Retailer fulfilment. Wallet availability, updates, location features, and notifications depend on the Customer’s device and the applicable Third-Party Service.
Retailers are responsible for the acts and omissions of Retailer Personnel, including scanning, awarding, redeeming, approving, reversing, and manually entering transactions. Retailers must train personnel, apply least-privilege access, review activity, and promptly address errors or misuse.
If a Retailer connects a POS platform or other Third-Party Service, the Retailer authorizes StampEzee to exchange the data reasonably required to operate that integration. The Retailer is responsible for obtaining all permissions, configuring the integration correctly, and complying with the third party’s terms. Differences between StampEzee and POS records may arise from timing, configuration, connectivity, refunds, duplicate records, or third-party errors. The Retailer must investigate and resolve discrepancies using its authoritative transaction records.
StampEzee may modify, pause, or discontinue an integration where the provider changes its service, continued operation creates a security or legal risk, or the integration is no longer commercially or technically feasible.
StampEzee and Retailers may send communications reasonably necessary to provide or secure the Service, including account verification, one-time passcodes, security alerts, transaction confirmations, Stamp or EzeePoints updates, Reward notices, redemption confirmations, service changes, and support messages. Delivery may occur by push notification, WhatsApp, SMS, email, in-app message, or another available channel. Message and data rates may apply.
Promotional campaigns and other commercial electronic messages may be sent only where the sender has a lawful basis and complies with applicable requirements, including consent, sender identification, recordkeeping, and a functioning unsubscribe mechanism. A Retailer is responsible for the campaigns it creates, the recipients it selects, the accuracy of its messages, and the consents it relies on. StampEzee may require evidence of consent, suppress recipients, reject content, or suspend campaign functionality to address legal, security, abuse, or deliverability risks.
No communication channel is guaranteed. Delivery can be delayed or prevented by device settings, telecom or messaging restrictions, spam filters, regional permissions, invalid contact details, lack of WhatsApp availability, app permissions, or third-party outages. Users remain responsible for checking the Service and keeping contact details current. StampEzee may choose or change available channels and fallback methods.
The Service is not an emergency communication system and must not be used for urgent safety, medical, law-enforcement, or time-critical notices.
You retain ownership of Content you submit. You grant StampEzee and its service providers a worldwide, non-exclusive, royalty-free licence to host, copy, process, display, adapt for technical formatting, transmit, and otherwise use that Content as reasonably necessary to provide, secure, support, and improve the Service and to comply with law. This licence continues for retained backups and legal records after deletion, subject to our Privacy Policy and retention practices.
A Retailer represents that it has all rights and permissions needed for its Content, trademarks, customer data, program rules, and communications, and that they do not infringe rights, mislead recipients, or violate law. A Retailer must not submit payment-card data, account passwords, government identifiers, health information, or other sensitive data unless StampEzee has expressly approved that use in writing.
StampEzee may review, refuse, remove, or restrict Content where reasonably necessary to enforce these Terms, respond to complaints, protect users, maintain platform integrity, or comply with law. StampEzee is not required to monitor all Content.
If you provide feedback, you grant StampEzee permission to use it without restriction or compensation. StampEzee may create and use aggregated or de-identified information that does not reasonably identify an individual, including for analytics, benchmarking, security, product improvement, and business operations, subject to applicable law.
You must not, and must not help another person to:
StampEzee may investigate suspected violations and preserve or disclose information where permitted or required by law. Enforcement decisions may include content removal, reward reversal, access restriction, suspension, or termination.
Our Privacy Policy explains how StampEzee collects, uses, discloses, stores, transfers, and protects personal information. It forms part of these Terms by reference. If a Retailer independently collects or uses Customer information, including through its POS, store, website, or marketing systems, that activity is governed by the Retailer’s own privacy obligations and notices.
Depending on the activity, StampEzee may process personal information for its own platform purposes and may process information on behalf of a Retailer. Retailers must provide required notices, obtain valid consents, respond to lawful rights requests within their control, limit access to authorized personnel, and notify StampEzee promptly of suspected misuse or breach affecting the Service.
No online service can guarantee absolute security. StampEzee will use safeguards appropriate to the sensitivity of information under its control and will address security incidents in accordance with applicable law.
Dashboards, reports, metrics, progress calculations, recommendations, and insights are provided for informational and operational purposes. Results may be affected by incomplete inputs, retailer configuration, third-party data, delayed synchronization, attribution assumptions, fraud controls, or technical errors. Retailers must independently verify information before making material business, financial, employment, legal, or customer decisions.
StampEzee does not guarantee that analytics, campaigns, gamification, or loyalty programs will increase revenue, visits, retention, engagement, or any other business outcome.
Retailers may purchase subscriptions, add-ons, usage-based features, or other paid services. The price, billing period, included features, limits, taxes, and renewal terms shown at checkout, in an order form, or in the Retailer dashboard form part of these Terms. Customers generally use StampEzee without paying StampEzee unless a paid customer feature is expressly offered.
The Retailer authorizes StampEzee and its payment processor to charge the selected payment method for amounts due. If a subscription is described as recurring or automatically renewing, it renews for the stated period until cancelled in the manner disclosed at purchase or in the dashboard. The Retailer must keep billing information current. Failed or disputed payment may result in restricted access or suspension after any notice or cure period required by law or contract.
Fees exclude applicable sales, use, value-added, withholding, and similar taxes unless stated otherwise. The Retailer is responsible for taxes associated with its purchase, except taxes based on StampEzee’s net income. If withholding is required by law, the Retailer must provide appropriate documentation and, where legally permitted, ensure StampEzee receives the amount that would otherwise have been payable.
StampEzee may change future prices, plans, limits, or features. For a paid current term, a materially adverse change will normally take effect at renewal or after reasonable notice unless required sooner for security, legal compliance, third-party dependency, or prevention of harm. If applicable law gives a right to cancel or obtain a remedy, that right is not limited by these Terms.
A Retailer may cancel a recurring subscription through the available account controls or by contacting hello@stampezee.com. Unless checkout terms or applicable law provide otherwise, cancellation stops the next renewal and access continues through the paid billing period.
Except where required by law, stated in an order form, or expressly approved by StampEzee, paid fees are non-refundable and no credit is provided for partial periods, unused features, Customer inactivity, or cancellation before the end of a billing period. This clause does not limit rights that cannot legally be waived, including remedies for unauthorized charges, misrepresentation, or failure to provide required contract information.
A Customer may request account closure through available settings or by contacting hello@stampezee.com. Closure may cause loss of access to Retailer Programs, Stamps, EzeePoints, Rewards, history, Wallet updates, and other account-linked features, subject to applicable law and required retention. Retailer-issued entitlements may remain governed by the Retailer’s program rules and applicable law.
StampEzee may restrict, suspend, or terminate an Account or feature where reasonably necessary because of non-payment, a breach of these Terms, suspected fraud or abuse, security risk, unlawful activity, a third-party restriction, legal requirement, or material harm to StampEzee, a Retailer, a Customer, or another person. Where appropriate and legally permitted, StampEzee will provide notice and an opportunity to cure. Immediate action may be taken for urgent security, fraud, legal, or safety reasons.
On termination, the right to use the Service ends. Accrued payment obligations and provisions that by their nature should survive remain effective, including ownership, confidentiality, disclaimers, liability limitations, indemnities, dispute provisions, and record-retention rights. StampEzee may delete or de-identify data after applicable retention and transition periods.
Third-Party Services are governed by their own terms and privacy practices. StampEzee does not control and is not responsible for their availability, policies, fees, security, content, or conduct. A change or outage affecting a Third-Party Service may limit or disable a StampEzee feature.
If you download the app from Apple or Google, you acknowledge that these Terms are between you and StampEzee, not the app-store provider. The provider has no obligation to provide maintenance or support for the Service and is a third-party beneficiary of the provisions intended for it, to the extent required by its platform terms.
The Service, including its software, APIs, workflows, interfaces, designs, documentation, trademarks, logos, and StampEzee-created content, is owned by Elyon Techno Labs Inc. or its licensors and is protected by intellectual property laws. Subject to these Terms and payment of applicable fees, StampEzee grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the Service for its intended purpose during the applicable term.
No rights are granted except as expressly stated. “StampEzee” and related branding may not be used without prior written permission, except that Retailers may accurately identify their participation in the Service in accordance with any brand guidelines we provide.
Each party may receive non-public business, technical, security, or commercial information from the other. The receiving party must use such information only for the relationship, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are bound by confidentiality obligations. These duties do not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received without restriction. A legally required disclosure is permitted after notice where lawful and reasonably practicable.
StampEzee may maintain, update, improve, add, remove, or discontinue features. We will use commercially reasonable efforts to avoid unnecessary disruption and, where practical, provide notice of material discontinuations affecting paid Retailers. Emergency maintenance, security measures, beta features, and dependencies outside our reasonable control may be changed without advance notice.
Beta, pilot, preview, or experimental features are optional and may be incomplete, changed, or withdrawn at any time. They are provided without service-level commitments unless agreed in writing.
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” StampEzee disclaims warranties and conditions not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.
StampEzee does not warrant that the Service will be uninterrupted, error-free, compatible with every device or system, or free from all harmful components; that every communication will be delivered; that records from a Retailer, POS, Wallet, or third party will always synchronize; that a Retailer will honour a Reward; or that use of the Service will produce a particular commercial result.
Nothing in these Terms excludes a warranty, condition, remedy, or statutory right that cannot lawfully be excluded.
To the maximum extent permitted by law, StampEzee and its affiliates, directors, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, or for lost profits, revenue, goodwill, business opportunities, anticipated savings, or data, arising from or related to the Service, even if advised that such loss may occur.
To the maximum extent permitted by law, StampEzee’s aggregate liability arising from or related to the Service during any twelve-month period will not exceed:
The exclusions and caps apply regardless of the legal theory and in the aggregate across all claims. They do not apply to liability that cannot legally be limited or excluded, including liability for fraud, wilful misconduct, or other liability to the extent applicable law prohibits limitation. The parties agree that these allocations are an essential basis of the agreement.
A Retailer will defend, indemnify, and hold harmless StampEzee and its affiliates, directors, officers, employees, and contractors from third-party claims, losses, damages, penalties, costs, and reasonable legal fees arising from or related to:
StampEzee will give prompt notice of an indemnified claim, permit the Retailer to control the defence and settlement, and provide reasonable cooperation at the Retailer’s expense. The Retailer may not settle a claim in a way that admits liability by or imposes obligations on StampEzee without StampEzee’s written consent. Customer indemnity applies only to the extent enforceable under applicable law and is limited to third-party claims caused by the Customer’s unlawful conduct, fraud, infringement, or material breach of these Terms.
StampEzee may update these Terms to reflect changes in the Service, law, security practices, business operations, or third-party requirements. We will post the revised Terms and update the “Last Updated” date. If a change is material, we will provide reasonable notice through the Service or available contact information before it takes effect, unless an earlier change is reasonably necessary for legal, security, fraud-prevention, or safety reasons.
If you do not agree to a material change, you must stop using the affected Service and may cancel a paid subscription before the change takes effect. Continued use after the effective date constitutes acceptance where permitted by law. Changes do not retroactively reduce rights or increase charges for a completed billing period unless you expressly agree or law permits it.
Before starting formal proceedings, you and StampEzee agree to make reasonable efforts to resolve the dispute by written notice to hello@stampezee.com describing the issue and requested resolution. This does not prevent either party from seeking urgent injunctive relief or using a statutory complaint process.
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. Subject to mandatory consumer rights, the parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada.
A Customer may have mandatory rights under the laws of the place where they live. Nothing in these Terms requires a Customer to waive a right or remedy that cannot lawfully be waived, including access to a regulator, consumer protection authority, small claims process, or court with mandatory jurisdiction.
StampEzee may provide operational or legal notices by email, in-app notice, dashboard notice, website posting, or another reasonable electronic method. Notices to StampEzee must be sent to hello@stampezee.com. Formal notices may also be addressed to Elyon Techno Labs Inc., Tiffany Court, Mississauga, Ontario, Canada.
You may not assign these Terms or transfer an Account without StampEzee’s prior written consent. StampEzee may assign these Terms in connection with a merger, financing, corporate reorganization, sale of assets, or transfer of the Service, provided that mandatory rights are preserved.
Neither party is liable for delay or failure caused by events beyond its reasonable control, including internet or telecommunications failures, labour disputes, natural disasters, government action, war, civil disorder, epidemic, cyberattack, utility failure, or third-party platform interruption. Payment obligations already due are not excused.
If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions continue. A failure to enforce a provision is not a waiver. Headings are for convenience. “Including” means “including without limitation.” These Terms will not be interpreted against a party merely because that party drafted them.
These Terms, the Privacy Policy, any applicable order form, plan details, and policies expressly incorporated by reference form the entire agreement about the Service and replace prior discussions on the same subject. If there is a conflict, a signed order form controls for that order, followed by these Terms, then incorporated policies, unless the document expressly states otherwise.
The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, fiduciary, employment, or agency relationship. No third party has rights under these Terms except an app-store provider or other party expressly identified as a beneficiary.
Provisions concerning payment, ownership, confidentiality, privacy obligations, disclaimers, liability, indemnification, dispute resolution, and any terms that by their nature should survive will continue after termination.
