These Terms & Conditions (“Terms”) govern access to and use of the StampEzee websites, mobile applications (iOS/Android), dashboards, tools, widgets, links, integrations, and related services (collectively, the “Service” or “StampEzee”).
By accessing or using the Service, you (“you”) agree to these Terms. If you do not agree, you may not use the Service.
1) Company Information
StampEzee is owned and operated by Elyon Techno Labs Inc (“Elyon,” “StampEzee,” “we,” “us,” “our”).

StampEzee is offered globally. Availability of features may vary based on region, device, app store availability, and third-party dependencies.
2) Definitions
- “Retailer”: A business entity using StampEzee to create and manage loyalty programs, including its owners, directors, officers, employees, contractors, agents, and authorized personnel.
- “End User” / “Customer” / “User”: An individual who uses StampEzee to join, collect stamps, or redeem rewards from a Retailer’s loyalty program.
- “Retailer Owner Access”: The primary Retailer account used to configure the loyalty program, manage billing, manage locations, manage staff access, and control settings.
- “Loyalty Executive Access”: A Retailer staff access role used to scan/award stamps and perform other actions permitted by the Retailer and platform.
- “Stamp”: A unit of progress awarded under a Retailer’s loyalty program, according to the Retailer’s settings and staff actions.
- “Stamp Card”: A Retailer-defined digital card/campaign through which stamps are collected and progress is tracked.
- “Reward”: Any benefit the Retailer decides to provide (e.g., free item, discount, voucher, service).
- “Completion Path”: Any Retailer-defined rules to unlock a Reward (e.g., number of stamps, minimum purchase, eligible items, date/time windows, customer eligibility, etc.).
- “Campaign”: Any promotion, offer, message, announcement, stamp card, or reward initiative created or run by a Retailer through the Service.
- “Content”: Any information, text, offers, pricing, images, logos, business details, descriptions, or other materials posted or provided by Retailers or End Users via the Service.
- “Third-Party Services”: External providers used by or integrated with StampEzee (e.g., Stripe, hosting, analytics, email delivery, app stores).
3) Platform-Only Role (StampEzee Is Not the Retailer)
StampEzee is a technology platform that enables Retailers to run loyalty programs and enables End Users to participate.
3.1 StampEzee is not a party to Retailer–End User transactions
StampEzee is not a seller, merchant of record, reseller, agent, broker, or representative of any Retailer. StampEzee does not own, operate, or control Retailer stores, staff, inventory, pricing, or customer service.
3.2 Retailers are solely responsible
Retailers are solely responsible for:
- the loyalty program they create and operate,
- issuing stamps and honoring rewards,
- the accuracy of store information and offers,
- compliance with all applicable laws.
3.3 End Users must resolve Reward issues with the Retailer
If an End User has any complaint, dispute, or claim relating to stamps or rewards, the End User must resolve it directly with the Retailer. StampEzee is not responsible for Retailer performance or fulfillment.
4) Acceptance of Terms and Changes
4.1 Acceptance
By using the Service, you confirm you have read, understood, and agreed to these Terms.
4.2 Changes to Terms
We may update these Terms at any time. Changes may be effective immediately or later. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
4.3 Local consumer rights
Some jurisdictions do not permit certain disclaimers or limitations. Where prohibited, those provisions apply only to the maximum extent permitted by law.
5) Eligibility and Accounts
5.1 Eligibility
You must be legally permitted to use the Service in your jurisdiction. If you are under the age of majority, you may use the Service only with permission of a parent/guardian where required.
5.2 Account information
You agree to provide accurate information and keep it current. Retailers represent they have authority to bind the business to these Terms.
5.3 Account security
You are responsible for:
- safeguarding credentials,
- controlling staff access,
- all activity under your account.
StampEzee is not liable for unauthorized activity resulting from your failure to secure credentials or devices.
6) Retailer Responsibilities (Core Obligations)
Retailers are solely responsible for their loyalty program, including:
- Offers and Reward Fulfillment: ensuring rewards are actually available and honored.
- Program Rules: setting Completion Paths, eligibility, and redemption rules clearly.
- Store Information: ensuring store name, branches, addresses, operating hours, and offer details are accurate.
- Staff Actions: training Loyalty Executive Access staff and supervising their activity.
- Compliance: complying with advertising laws, consumer protection laws, competition laws, product/service regulations, and any local requirements.
6.1 Retailer staff input and invoice/purchase amounts
If a Retailer uses a workflow that requires staff to input purchase or invoice amounts (or any transaction details), the Retailer acknowledges:
- accuracy is the responsibility of the Retailer and its staff,
- StampEzee is not responsible for incorrect entries,
- any dispute arising from wrong entries is between Retailer and End User.
6.2 Reward validity and expiry
Rewards may have validity windows and restrictions set by the Retailer (and in some cases by platform rules). Retailers and End Users agree that rewards may expire, be limited, or be removed, and StampEzee is not liable for such changes.
6.3 Prohibited and illicit businesses
StampEzee may suspend or remove any Retailer (in our sole discretion) if the Retailer is associated with illegal, illicit, or prohibited goods/services, or any activity that creates legal, reputational, or safety risk.
7) End User Responsibilities
End Users agree to:
- follow Retailer rules for each stamp card and reward,
- not manipulate, exploit, or abuse stamping systems,
- not attempt fraud, duplication, or false claims,
- comply with all applicable laws.
End Users acknowledge that Retailers control stamp issuance and reward fulfillment, and that StampEzee does not guarantee rewards.
8) Stamps, Stamp Cards, Completion Paths, Campaigns, Rewards (No Liability)
8.1 No responsibility for stamps or rewards
To the maximum extent permitted by law, StampEzee is not responsible for:
- stamps not being issued, being issued late, or being issued incorrectly,
- stamp counts, completion logic, or progress accuracy impacted by Retailer settings, staff actions, device issues, connectivity, or third-party services,
- rewards not being honored, not being available, being changed, or being refused,
- a Retailer failing to provide what they promised,
- any Retailer campaign not being honored or being inaccurate.
8.2 Store closure, deactivation, deletion
StampEzee is not responsible if a Retailer:
- closes down permanently or temporarily,
- deletes its store or branch,
- becomes inactive,
- disables or deletes a stamp card/campaign,
- removes or changes rewards.
End Users acknowledge that in such events, progress or rewards may become unavailable and StampEzee has no obligation to provide compensation, substitute rewards, or equivalent value.
8.3 Reward disputes are not StampEzee disputes
StampEzee is not responsible for, and will not be liable for, disputes between Retailers and End Users regarding:
- eligibility,
- reward availability,
- redemption refusal,
- redemption timing,
- product quality,
- customer service,
- claims of misrepresentation by a Retailer.
9) Content and Store Information (No Responsibility)
Retailers (and End Users where applicable) are solely responsible for the Content they provide. StampEzee does not verify, endorse, or guarantee Content.
StampEzee is not responsible for:
- inaccuracies in store information,
- incorrect or misleading offers,
- Retailer branding content,
- images or claims posted by Retailers,
- user-generated reviews or communications (if any exist now or later).
StampEzee may remove Content or restrict access at any time at our sole discretion.
10) Communications and Notifications
StampEzee may send system messages including OTP emails, account confirmations, and service notices. Delivery may depend on third parties (email providers, app stores, OS settings, telecom operators).
StampEzee is not responsible for:
- failed delivery, delays, spam filtering, throttling,
- missed notifications due to user device settings or OS restrictions,
- incorrect email addresses or user misconfiguration.
11) Analytics and Insights Disclaimer
Any dashboards, analytics, insights, reporting, or metrics are provided “as is” and for informational purposes only.
StampEzee does not guarantee:
- accuracy, completeness, or timeliness of analytics,
- that analytics reflect real-world outcomes,
- that insights will improve business results.
Retailers use analytics at their own risk. StampEzee is not liable for business decisions made using analytics.
12) Plans, Billing, Feature Changes, and Global Service
12.1 Retailers are charged; End Users are generally free
End Users use StampEzee free of charge unless stated otherwise. Retailers may pay for subscription plans and add-ons.
12.2 Billing and payment processing
Retailer payments may be processed by Third-Party Services (e.g., Stripe). Retailers authorize charges according to selected plan and billing cycle.
12.3 Changes to plans, features, add-ons, limits
StampEzee may change, add, remove, modify, or discontinue any:
- plan pricing,
- plan limits,
- plan features,
- add-ons,
- trials/free benefits,
- eligibility criteria,
with or without notice, and with immediate effect or later, at StampEzee’s sole discretion, to the maximum extent permitted by law.
12.4 Currencies and languages
StampEzee may support multiple languages and currencies. Retailers choose from available options. StampEzee does not guarantee availability of a specific currency or language in all countries or at all times.
13) Refunds, Cancellations, and Credits (Retailers)
Retailer fees are non-refundable to the maximum extent permitted by law. This includes, without limitation:
- subscription fees,
- add-on fees,
- renewals,
- unused time,
- dissatisfaction or unmet expectations,
- feature changes or removals,
- issues caused by Retailer configuration or staff errors,
- outages or third-party service failures.
Retailers may contact support through official channels. Any solution, credit, or accommodation is entirely at StampEzee’s discretion and does not create an ongoing obligation.
If a refund is legally required in a specific jurisdiction, refunds will be handled only as required by that law.
14) Abuse, Fraud, Circumvention, Multiple Accounts
StampEzee may suspend or terminate any account immediately if, in our sole discretion, we detect:
- attempts to bypass plan limits,
- multiple signups to avoid fees,
- fraudulent stamping or reward manipulation,
- suspicious activity patterns,
- misuse of the Service.
StampEzee may act with or without notice and without liability.
15) Third-Party Services (No Liability)
The Service relies on Third-Party Services (payments, hosting, analytics, email delivery, app stores, etc.). StampEzee is not responsible for:
- third-party downtime,
- third-party pricing changes,
- third-party policy changes,
- third-party errors,
- third-party security incidents outside our control.
Use of Third-Party Services may be subject to their own terms.
16) Suspension, Termination, and Service Availability
StampEzee may modify, suspend, limit, or discontinue the Service (or any part of it) at any time.
StampEzee may suspend or terminate access for any user or Retailer if:
- there is suspected fraud or abuse,
- legal compliance requires it,
- risk management requires it,
- the account violates these Terms.
StampEzee is not liable for losses arising from suspension or termination, to the maximum extent permitted by law.
17) Disclaimer of Warranties
To the maximum extent permitted by law, StampEzee is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- the Service will be uninterrupted or error-free,
- stamps/rewards will function as expected for every Retailer configuration,
- outcomes such as increased revenue or repeat visits will occur.
18) Limitation of Liability
To the maximum extent permitted by law, StampEzee (and Elyon, its directors, officers, employees, contractors, affiliates) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including:
- lost profits, lost revenue,
- business interruption,
- loss of data,
- loss of goodwill,
- disputes between Retailers and End Users,
- Retailer failure to honor rewards,
- store closures or deletions,
- inaccurate analytics or insights.
Total liability cap: our aggregate liability for any claim related to the Service will not exceed the greater of:
- the amounts paid by the Retailer to StampEzee in the one (1) month before the event giving rise to the claim, or
- CAD $100.
Where local law does not allow a limitation, liability is limited to the maximum extent permitted.
19) Indemnification
You agree to indemnify, defend, and hold harmless StampEzee and Elyon Techno Labs Inc from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- your use of the Service,
- your Content,
- your loyalty program and reward fulfillment (Retailers),
- disputes between Retailers and End Users,
- violation of these Terms or applicable law.
20) Intellectual Property
StampEzee and all related technology, software, design, trademarks, logos, and content (excluding user Content) are owned by Elyon or licensors.
You may not copy, modify, distribute, reverse engineer, or exploit the Service except as permitted by law.
Retailers grant StampEzee a limited, worldwide, non-exclusive license to display Retailer branding and store information solely to provide the Service.
21) Privacy Policy
StampEzee’s privacy practices will be described in a separate Privacy Policy. If there is any conflict, these Terms govern platform use and the Privacy Policy governs data handling.
22) Governing Law and Jurisdiction
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
You agree that disputes will be brought in the courts located in Ontario, Canada, unless applicable law requires otherwise.
23) Miscellaneous
23.1 Severability
If any provision is held unenforceable, the remaining provisions remain in effect.
23.2 Assignment
StampEzee may assign these Terms without notice. You may not assign your rights without our written consent.
23.3 Entire Agreement
These Terms are the entire agreement regarding the Service and supersede prior communications.
23.4 Survival
Sections on disclaimers, limitation of liability, indemnification, IP, governing law, and other provisions intended to survive will survive termination.
